                 By-Laws
                    2023

ARTICLE I:  OFFICERS


 

The President shall:


 

1. Be the Executive Officer of the Association and shall hold office for two (2) years from 

    election by members of the Association.  

2. The President shall preside over all meetings of the Association and meetings of theBoard.

3. The President shall be elected on the even number years.

4. The President will take office in January following the November meeting.

5. Call special meetings of the Association and the Board when necessary.

6. Perform all acts and duties required of an Executive and a presiding officer, i.e. make the

   agenda,  vote  in   case   of   a   tie,  appoint   all   committee   chair   and  may  attend   any

   committee meeting.

7. Sign or co-sign as President appropriate instruments on behalf of the Association.

8. Co-sign checks on behalf of the Association.

9. Coordinate with the Secretary  and PR Officer in completing the Woodward Farmers’ Market

   Association Newsletter.

10. Apppoint the the Market Manager to administer the market rules.


 

The Vice President shall:


 

1. Hold office for the same period as the President, and in the absence of or the inability of the

     President to act, shall be vested with all the powers of the President and discharge all the

     duties of that same office.

2. The Vice-President shall be elected on odd number years.

3. Assume the office of the President for its unexpired term if a vacancy occurs.

4. Preside over the annual audit and choose two (2) other Board members to assist.

5. Do the President’s duties in the President's absence.

6. Do any other duties assigned by the President.


 

The Secretary shall:


 

1. Hold office for the same period as the President and the Vice President.

2. The Secretary shall be elected on even number years.

3. Keep a complete and accurate record of all meetings of the Association  and Board(minutes

    of the meeting).  The secretary will maintain 3 ledgers of our records:  one for the Secretary,

    one for the President and one kept at the Church Office mailing location.

4. Serve all notices required by law and by the by-Laws, except as otherwise directed by the

    Board.

5. Be responsible for notifying all members of the time, date and location of impending meetings

    and shall handle all official correspondence for the Association.

6. Co-sign checks on behalf of the Association when the President or Treasurer is unavailable to

     sign checks.

7. Send letters and Thank You notes unless assigned to another person.

8. Write all correspondence unless assigned to another person.

9. Send emails when necessary.

10. Keep Membership List with information up to date.

11. Keep Membership Applications readily available.

12. Keep a list of all officers and committees

13. Coordinate with the President and PR Officer in completing the Woodward Farmers’ Market

       Association Newsletter.


 

The Treasurer shall:


 

1. Hold office for the same period as the President and the Vice President.

2. The Treasure shall be elected on odd number years.

3. Co-sign as Treasurer appropriate instruments on behalf of the Association.

4. Co-sign checks on behalf of the Association.

5. Receive   and   disburse   all   funds   and   pay  out   the   current   expenses   and   such   other expenditures as he/she may be ordered by the Board.

6. Collect membership dues and collect copies of all licenses and permits.

7. Keep a complete financial record of all  business of the Association falling under the duties

     assigned  to  the Treasurer and  make  a full report  of all  matters and business pertaining to

      the Association, to the members, at association meetings.

8. Compile all information, in a timely manner, to submit for reports. 

9. Make a budget at the beginning of the year and have copies available for each member.

10. Have records ready for an audit at the end of every year.


 

The Public Relations Officer shall:


 

1. Hold office for the same period as the President and the Vice President.

2. The Public Relations Officer shall be elected on odd number years.

3. Coordinate  with the  Board all promotional  events,  advertising,  publicity  and  activities

     relating to Farmers Market.

4. Maintains and oversee the Community Advisory Group as needed.

5. Coordinate with the President and Secretary in completing the Woodward Farmers’ Market

    Association Newsletter.


 

The Community Advisory Group shall: 

    

1. Shall hold office for the same period of the Public Relations Officer.     

2. Be composed of non-members of the Association on a voluntary basis.     

3. Serve on the Advisory Group as presented by the Public Relations Officers and 

    approved by the Board.     

4. Seek to promote and support the Woodward Farmers' Market in the community and

    throughout the State of Oklahoma in a positive manner.     

5. The Community Advisory Group will give business and general advice to help promote the                   Farmers Market.     

6. Community Advisory Group members will receive an annual 5% discount card for fresh             produce to use at any Farmers Market vendor.    


 

ARTICLE II


 

These By-Laws may be altered, changed or amended at any meeting or special meeting of the Association and any changes shall need approval by a 50% vote of all members present at two consecutive meetings before any change is enacted.


 

ARTICLE III


 

The   Board shall promulgate   and   enforce   such regulations as  it   shall  deem   necessary   and proper for the operation of any Market of the Association.


 

ARTICLE IV    


 

FRIENDS OF FARMERS MARKET - Privileges of the Friends of Farmers Market include:

1. Subscription to the Woodward Farmers Market Association Newsletter.

2. With a donation of $30 or more, Friends will receive a 5% discount card for fresh produce at any Market vendor. A membership card will be issued.

3. A special appreciation event will be held for Friends of the Farmers Market to host ideas and input.


 

ARTICLE V


 

All members are entitled to all the records of the WWFMA such as agenda, minutes, membership, by-laws, rules and regulations and other WWFMA documents.  Members, unable to attend board meetings, may contact the secretary to get copies of any documents with them being sent in whatever manner is feasible: i.e., for the person to pick up, email or by postal mail.Also, records are kept by the President and at the Trinity Lutheran Church and are available for any member to review or obtain a copy.
